Ledra General End User Licence Agreement
Effective Date: 16 July 2026
This General End User Licence Agreement ("Agreement") applies to your access to and use of Ledra software, websites, services, applications, documentation, support services and related products (together, the "Services"). It is a legal agreement between the person or organisation using the Services ("you" or "Customer") and Healthy International Pty Ltd ("Ledra", "we", "us" or "our").
By creating an account, starting a trial, subscribing to a plan, accessing the Services, or authorising another person to use the Services on your behalf, you agree to this Agreement. If you use the Services for an organisation, you confirm that you have authority to bind that organisation.
1. Structure and Application
This Agreement applies to all Ledra Services unless a specific product, partner, marketplace or country-specific term says otherwise. If additional terms apply to a particular feature, plan, integration, beta program, payment method or partner program, those additional terms form part of this Agreement. If there is an inconsistency, the specific additional terms apply to the extent of that inconsistency.
Headings are for convenience only. References to "including" mean "including without limitation". References to laws include those laws as amended or replaced from time to time.
2. Definitions
In this Agreement:
- Account means the Ledra account, organisation, book or workspace through which you access the Services.
- Authorised User means any person you invite, authorise or permit to access your Account.
- Customer Data means data, records, files, payroll information, accounting information, employee information, attachments, transaction data and other content submitted to or generated through the Services for your Account.
- Fees means subscription fees, usage fees, add-on fees, taxes and other charges payable for the Services.
- Plan means the subscription plan, module, feature set, usage limit and billing cycle selected by you.
- Trial means a free, discounted or evaluation period offered by Ledra.
3. Licence and Right to Use
Subject to your compliance with this Agreement and payment of applicable Fees, Ledra grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Services during your Trial or subscription term for your internal business purposes.
You must ensure that each Authorised User complies with this Agreement. You are responsible for all activity under your Account, including actions taken by Authorised Users, employees, advisers, bookkeepers, accountants or contractors you invite.
Ledra may update, improve, change, remove or replace features from time to time. We do not guarantee that every feature will remain available indefinitely or that every update will suit your particular business process.
4. Trials, Promotions and Coupons
If Ledra provides a Trial, promotional price, coupon or partner discount, it applies only according to the terms shown at the time of offer or configured in your subscription. Ledra may refuse, revoke or correct a promotion where it is used incorrectly, obtained fraudulently, used by an ineligible customer, or applied due to an obvious error.
At the end of a Trial or promotional period, your subscription may convert to a paid Plan unless you cancel before the end of the Trial or unless Ledra tells you otherwise. Customer Data entered during a Trial may be lost or become inaccessible if you do not start or maintain a paid subscription and do not export available data before the Trial ends.
5. Fees, Billing and Payment
You agree to pay all Fees for your selected Plan and any add-ons or usage you authorise. Fees may be billed monthly, annually or on another cycle shown in the checkout or billing page. Unless stated otherwise, Fees are exclusive of taxes, duties, levies, payment processing fees and bank charges.
You must provide accurate billing details and keep payment information current. By submitting a payment method, you authorise Ledra and its payment processors to charge that payment method for Fees when due.
Subscriptions may renew automatically unless cancelled in accordance with the cancellation process made available by Ledra. If payment fails, Ledra may retry payment, notify you, restrict access, suspend the Account or terminate the subscription.
Fees are non-refundable except where required by law or expressly agreed by Ledra. If you change Plans, Ledra may apply prorated charges, credits or adjustments according to its billing process.
6. Account Access and Security
You are responsible for maintaining the security of login credentials, devices, networks and integrations used to access the Services. You must promptly notify Ledra if you suspect unauthorised access or misuse of your Account.
You must not share individual logins between people. You must ensure Authorised Users have appropriate permissions and remove access when a person no longer requires it. Ledra may suspend access if we reasonably suspect a security risk, misuse, unlawful activity or breach of this Agreement.
7. Acceptable Use
You must use the Services only for lawful business purposes. You must not:
- copy, resell, sublicense, lease or commercially exploit the Services except as expressly permitted by Ledra;
- reverse engineer, decompile, bypass, disable or interfere with security or technical controls, except to the extent permitted by law;
- upload malicious code, attempt unauthorised access, overload systems, scrape data, or disrupt the Services;
- use the Services to infringe rights, breach privacy, commit fraud, mislead others or violate applicable laws;
- remove notices, branding, proprietary labels or terms displayed in the Services;
- use the Services to develop a competing product by copying design, workflows, data structures or functionality.
8. Accounting, Payroll and Compliance Responsibilities
Ledra provides tools to help manage accounting, payroll, reporting, tax and business administration workflows. The Services do not replace your professional judgement and do not constitute legal, tax, accounting, payroll, financial or employment advice.
You are responsible for checking the accuracy of data entered into the Services, reviewing outputs, approving payroll and accounting records, meeting lodgement deadlines, retaining records, paying employees and suppliers, and complying with laws that apply to your business.
Ledra may provide default settings, tax tables, payroll rules, templates, reports, calculations or integrations. These are provided to support your workflow, but you remain responsible for verifying that they are suitable for your circumstances and current legal obligations.
9. Cloud Services and Availability
The Services may depend on internet access, browsers, devices, hosting providers, payment processors, banks, government services and third-party networks. Speed, performance and availability may vary. Ledra will use reasonable efforts to keep the Services available, but we do not guarantee uninterrupted or error-free access.
Ledra may perform maintenance, updates or emergency work. Where practical, we will try to minimise disruption, but urgent maintenance may occur without notice.
10. Support
Ledra may provide support through channels and hours published by Ledra from time to time. Support may be limited for free plans, trials, unsupported browsers, unsupported devices, customisations, third-party systems, old exports, inactive subscriptions or misuse of the Services.
Ledra is not responsible for providing professional accounting, tax, payroll, employment law or legal advice as part of technical support.
11. Third-Party Products and Integrations
The Services may connect with third-party products, payment gateways, banks, identity providers, government services, email providers, data sources, app marketplaces or APIs. Your use of third-party products may be subject to separate terms and privacy policies.
Ledra is not responsible for third-party products, their availability, accuracy, security, fees, changes or failures. Ledra may change, suspend or remove an integration if the third-party service changes, becomes unavailable, creates a security risk, or is no longer commercially or technically appropriate.
12. Customer Data, Backups and Retention
You retain ownership of Customer Data. You grant Ledra a licence to host, store, copy, process, transmit, display and use Customer Data as necessary to provide, secure, support, maintain and improve the Services and to comply with legal obligations.
You are responsible for the accuracy, quality and legality of Customer Data and for maintaining any records you are required to keep. You should export and back up important records regularly where export features are available.
After cancellation, expiry, suspension or termination, Customer Data may be retained, restricted, deleted or anonymised according to Ledra's data retention practices and legal obligations. Ledra is not required to retain Customer Data indefinitely.
13. Privacy and Confidentiality
Each party must protect confidential information with reasonable care. Ledra will handle personal information in accordance with applicable privacy laws and its privacy practices. You must ensure you have the right to provide personal information to Ledra, including employee, payroll, contractor, customer and supplier information.
Ledra may access Customer Data where required to provide support, investigate issues, prevent misuse, comply with law, maintain security, process transactions, operate integrations or improve the Services.
14. Intellectual Property
Ledra and its licensors own all intellectual property rights in the Services, including software, workflows, interfaces, databases, designs, documentation, templates, reports, code, know-how, trademarks and branding. Except for the limited right to use the Services, no rights are transferred to you.
You may use reports, exports and outputs generated from your Customer Data for your internal business purposes, subject to this Agreement and applicable law. Feedback, suggestions or ideas you provide may be used by Ledra without obligation to you.
15. Warranties and Disclaimers
Nothing in this Agreement excludes rights that cannot be excluded under Australian Consumer Law or other applicable laws. Subject to those non-excludable rights, the Services are provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, Ledra excludes all implied warranties, guarantees, representations and conditions, including fitness for a particular purpose, merchantability, non-infringement, uninterrupted availability and error-free operation.
16. Limitation of Liability
To the maximum extent permitted by law, Ledra is not liable for indirect, consequential, incidental, special, punitive or exemplary loss, loss of profit, loss of revenue, loss of goodwill, loss of business opportunity, loss or corruption of data, business interruption, or failure of third-party services.
To the extent Ledra is legally liable despite the above, Ledra's aggregate liability arising out of or relating to the Services is limited to the Fees paid by you for the affected Services in the 12 months before the event giving rise to the claim, or AUD $100 if no Fees were paid, unless a different limit is required by law.
17. Your Indemnity
You indemnify Ledra against losses, claims, costs and expenses arising from your Customer Data, your breach of this Agreement, misuse of the Services, unlawful activity, infringement of third-party rights, or failure to meet your accounting, payroll, tax, employment, record-keeping or payment obligations.
18. Term, Suspension and Termination
This Agreement starts when you first access the Services and continues while you have an Account, Trial or subscription. You may cancel according to the cancellation process made available by Ledra.
Ledra may suspend or terminate access immediately if you breach this Agreement, fail to pay Fees, create security or legal risk, misuse the Services, become insolvent, or if Ledra is required to do so by law or a third-party provider.
On termination, your right to use the Services ends. Amounts already due remain payable. Clauses relating to payment, data, confidentiality, intellectual property, liability, indemnity and dispute resolution continue after termination.
19. Audit and Usage Verification
Ledra may monitor and verify usage for billing, security, compliance and support purposes, including user counts, employee counts, plan limits, module access, coupon eligibility and partner entitlements. You must provide reasonable information required to confirm compliance with your Plan and this Agreement.
20. Changes to Services and Terms
Ledra may change the Services, Plans, Fees or this Agreement from time to time. If a change materially reduces your rights or materially increases your obligations, Ledra will use reasonable efforts to notify you. Your continued use of the Services after the effective date of a change means you accept the change.
If you do not agree to a material change, you may stop using the Services and cancel your subscription before the change takes effect, subject to any rights you have under applicable law.
21. Force Majeure
Ledra is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, power failure, internet or telecommunications failure, cyber incidents, strikes, war, government action, payment network failure, bank or third-party provider outage, or changes in law.
22. Notices and Communications
Ledra may communicate with you by email, in-product messages, account notifications, website notices or other reasonable means. You must keep your account and billing contact details current. Notices are taken to be received when sent unless a delivery failure is received.
23. Assignment
You must not assign, transfer or novate your rights or obligations under this Agreement without Ledra's prior written consent. Ledra may assign, transfer or novate this Agreement as part of a restructure, merger, sale of business, financing arrangement or transfer of the Services.
24. Governing Law
This Agreement is governed by the laws of Australia and, where relevant, the laws of the Australian state or territory in which Ledra has its principal place of business. The parties submit to the non-exclusive jurisdiction of Australian courts.
25. General
If any part of this Agreement is invalid or unenforceable, it will be read down or severed to the extent required, and the remaining parts continue. A failure or delay in enforcing a right is not a waiver. This Agreement, together with any applicable Plan, order, checkout terms, privacy terms and additional product terms, forms the entire agreement between you and Ledra for the Services.
